Terms of Use

1. “Service” means BtoB Navi operated by BizX, Inc. and all services incidental thereto.
2. “Website” means https://btob-navi.com/ operated by BizX, Inc., including any successor website in the event that the domain or contents are changed.
3. “User” means any individual, corporation, organization, or entity that uses the Service.
4. “Listed Company” means any company or organization whose company information is listed on the Service after review by BizX, Inc.
5. “Listing Information” means all information related to Listed Companies displayed on the Service.

BizX, Inc. may change these Terms at any time without prior notice to Users when it deems such changes necessary. The revised Terms shall become effective upon being posted on the Website, and Users who continue to use the Service thereafter shall be deemed to have agreed to the revised Terms.

1. The Service is an information platform that allows Users to search and browse information about Listed Companies, mainly in Southeast Asia, and facilitates inquiries to such Listed Companies.
2. BizX, Inc. is not a party to any transaction, business negotiation, or contract between Users and Listed Companies. The role of BizX, Inc. is limited to providing information and forwarding inquiries.
3. BizX, Inc. reserves the right to change, suspend, or terminate the contents, specifications, or terms of provision of the Service without prior notice.

1. Listing Information is based on information self-reported by Listed Companies, and BizX, Inc. makes no warranty as to its accuracy, completeness, timeliness, legality, or usefulness.
2. Users shall use Listing Information only as reference information and shall determine, at their own responsibility, whether to conduct transactions and under what terms.
3. Some company information listed on the Service may be independently collected, organized, and edited by BizX, Inc. based on publicly available information on the Internet, including company websites, government databases, and news reports. Companies that wish to confirm, correct, or remove Listing Information should contact BizX, Inc. through the designated contact channel.
4. BizX, Inc. shall not be liable for any damages arising from the contents of Listing Information.

Some content on the Service, including company descriptions, translations, and summaries, may be generated or edited using AI. BizX, Inc. does not warrant the accuracy, completeness, or appropriateness of AI-generated content and shall not be liable for any damages arising therefrom. If any listed content contains information that differs from the facts, please contact BizX, Inc. through the designated contact channel.

1. BizX, Inc. accepts inquiries from Users to Listed Companies and forwards such inquiries to the relevant Listed Companies.
2. BizX, Inc. shall not be involved in, and makes no warranty regarding, whether a Listed Company responds after an inquiry has been forwarded, or the content or handling of such response.
3. Users who submit inquiries shall be deemed to have agreed that the information they entered, including company name, personal name, email address, and inquiry details, may be disclosed to the Listed Company.
4. Inquiries falling under any of the following categories shall not be eligible for forwarding:
   • Inquiries intended for sales, advertising, promotion, or solicitation;
   • Inquiries containing false or inaccurate information;
   • Inquiries that violate these Terms or applicable laws and regulations;
   • Any other inquiries that BizX, Inc. deems inappropriate.
5. BizX, Inc. shall have no obligation to notify Users as to whether an inquiry has been forwarded or the result thereof.

Users shall not engage in any of the following acts:

1. Acts that infringe copyrights, trademarks, patents, portrait rights, or other intellectual property rights of BizX, Inc. or any third party;
2. Acts that damage the reputation or credibility of BizX, Inc. or any third party, or acts of defamation, discrimination, or intimidation;
3. Entering or transmitting false information;
4. Solicitation activities, multi-level marketing, pyramid schemes, or similar activities through the Service;
5. Reproducing, reprinting, modifying, selling, or secondarily using information on the Service without authorization;
6. Unauthorized access to the system of the Service or acts that interfere with its operation;
7. Spam or other nuisance activities toward Listed Companies;
8. Political activities, election campaigns, or religious activities;
9. Providing benefits to anti-social forces or engaging in similar acts;
10. Acts that violate laws, regulations, public order, or morals, or acts that may do so;
11. Using crawlers, bots, scraping tools, or other automated programs to collect or extract information from the Service;
12. Placing an excessive load on servers through excessive access to the Service;
13. Using Listing Information on the Service as learning data or training data for AI or machine learning models, or using AI tools to collect or process large volumes of information from the Service;
14. Using information about Listed Companies obtained through the Service, including company names, contact details, and business descriptions, for sales, solicitation, advertising, direct mail, or similar purposes without the consent of the relevant company;
15. Using the inquiry function of the Service primarily for the purpose of selling or soliciting one’s own services or products.

1. Companies or organizations that wish to be registered as Listed Companies shall apply through the form designated by BizX, Inc.
2. BizX, Inc. shall review the application details and determine whether to approve the listing. BizX, Inc. shall have no obligation to disclose the review results or reasons for rejection.
3. BizX, Inc. may refuse to approve an application in any of the following cases:
   • The application information contains false or inaccurate details;
   • The company conducts business that violates public order or morals;
   • The company is an anti-social force or is involved with anti-social forces;
   • Any other case where BizX, Inc. deems the listing inappropriate.
4. If a Listed Company violates these Terms, or if BizX, Inc. determines that continuing the listing is inappropriate, BizX, Inc. may delete or make the Listing Information private without prior notice.

1. Copyrights and other intellectual property rights in content posted on the Service, including text, images, designs, and logos, belong to BizX, Inc. or third parties that hold legitimate rights.
2. Users may not reproduce, reprint, modify, sell, or secondarily use content of the Service without the prior written consent of BizX, Inc.

1. BizX, Inc. shall not be liable for any of the following:
   • Accuracy, completeness, or usefulness of Listing Information;
   • Troubles or damages arising from transactions, negotiations, or contracts with Listed Companies;
   • Responses by Listed Companies after inquiries have been forwarded;
   • Damages arising from interruption, delay, or defects in the Service;
   • Damages caused by force majeure events, including natural disasters, system failures, or unauthorized access by third parties;
   • Any damages arising from a User’s use of the Service.
2. BizX, Inc. does not warrant the continuous provision, stable operation, or fitness for a particular purpose of the Service. Users shall use the Service on an as-is basis.

1. BizX, Inc. has the authority to edit, delete, or make private any content posted on the Service without prior notice.
2. BizX, Inc. shall have no obligation to disclose the reasons for deleting or making Listing Information private.

1. Information submitted or entered by Users through the Service may be used by BizX, Inc. for the operation, improvement, statistical analysis, and development of new features of the Service.
2. BizX, Inc. may provide or publish statistical data or analysis results to third parties after processing such data in a manner that does not identify individuals.

1. If a User violates these Terms and causes damage to BizX, Inc., BizX, Inc. may claim damages from the User.
2. If BizX, Inc. is liable for damages to a User, such liability shall be limited to direct damages arising from intentional misconduct or gross negligence by BizX, Inc., and shall be limited to the minimum necessary amount reasonably calculated. BizX, Inc. shall not be liable for indirect damages, lost profits, special damages, loss of data, or loss of opportunity under any circumstances.
3. Users shall use the Service with full understanding and acceptance that they do not pay any consideration to BizX, Inc. for the use of the Service.

BizX, Inc. may change, suspend, or terminate all or part of the Service without prior notice to Users in any of the following cases. BizX, Inc. shall not be liable for any damages incurred by Users as a result.

1. In the event of natural disasters, power outages, war, or other force majeure events;
2. When system maintenance or inspection is required;
3. When security issues occur;
4. When BizX, Inc. determines that such action is necessary for operational reasons.

BizX, Inc. makes no warranties, express or implied, regarding the Service, including fitness for a particular purpose, merchantability, accuracy, continuity, or any other warranties. Users shall use the Service on an as-is basis.

If the Service contains links to external services or external websites, BizX, Inc. shall not be liable for the contents, operation, or privacy policies of such services or websites. Users shall use such services or websites at their own responsibility.

Users and Listed Companies represent and warrant that they do not currently, and will not in the future, fall under the category of anti-social forces, including organized crime groups, members of organized crime groups, companies affiliated with organized crime groups, corporate racketeers, or similar groups, and that they are not involved with such forces. If a violation is discovered, BizX, Inc. may suspend use of the Service or remove listings without prior notice and shall not be liable for any damages arising therefrom.

Even if any provision of these Terms is deemed invalid or unenforceable under laws, regulations, or a court judgment, the remaining provisions shall remain in full force and effect.

These Terms shall be governed by the laws of Japan. Any and all disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court or the Tokyo Summary Court as the court of first instance.
